Terms of Service

1. Acceptance of Terms

By accessing or using Nudge ("the Service"), including our website at nudgeledger.com, Discord bots, APIs, and any associated applications, you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Nudge is a decentralized debt tracking protocol with a Hub and Spoke architecture. It provides tools for tracking debts, managing poker staking, sending payment reminders, and generating payment links.

3. Eligibility

You must be at least 13 years of age to use the Service, consistent with Discord's minimum age requirement. By using the Service, you represent that you meet this age requirement.

4. Accounts

4.1 Account Creation

You may create an account via email signup or Discord OAuth. You are responsible for maintaining the security of your account credentials and for all activity under your account.

4.2 Ghost Profiles

When a user records a debt involving someone who has not yet signed up, Nudge creates a "ghost profile" using that person's Discord identity. Ghost profiles are minimal records that allow debts to be associated with a person before they join the Service. The referenced person will receive a Discord DM inviting them to claim the profile.

If a ghost profile has been created for you and you do not wish to use the Service, you may request its deletion by contacting us at support@nudgeledger.com.

5. Acceptable Use

You agree not to:

• Use the Service for fraudulent debt claims or to harass other users
• Create fake debts or manipulate balances
• Attempt to gain unauthorized access to other users' accounts or data
• Use automated tools to scrape, overload, or interfere with the Service
• Violate any applicable laws or Discord's Terms of Service
• Use the Service for money laundering or other illegal financial activity

We reserve the right to suspend or terminate accounts that violate these terms, at our sole discretion.

6. AI-Powered Message Processing

When the Nudge bot is installed in a Discord server, messages in accessible channels are analyzed by Google Gemini Flash to detect debt-related conversations. This is a core feature of the Service's passive debt detection functionality.

By installing or using the Nudge bot in a Discord server, server administrators consent to this processing on behalf of their community. Detected debts are never finalized without explicit user confirmation.

To opt out of AI message processing, remove the Nudge bot from your Discord server.

7. Payments and Billing

7.1 Free Tier

Nudge offers a free tier with limited functionality (e.g., 3 stakes per month, 1.0x markup cap). No credit card is required for the free tier.

7.2 Paid Subscriptions

Pro Grinder and Server Premium subscriptions are billed monthly or yearly through Stripe. You may cancel at any time via the Stripe customer portal (accessible from your dashboard); your access continues until the end of the current billing period. No prorated refunds are issued for partial billing periods. Refunds for other circumstances are handled on a case-by-case basis.

7.4 Promotional Pricing

We may offer promotional pricing (e.g., coupon codes) at our discretion. Promotional rates apply only to the terms specified at the time of purchase and may be limited in quantity or duration. We reserve the right to modify or discontinue promotions at any time.

7.3 Payment Settlement

Nudge facilitates debt settlement by generating payment links (deep links to Venmo, Cash App, etc.). We are not responsible for the completion, accuracy, or disputes arising from payments made through third-party payment apps. All payment disputes should be directed to the relevant payment provider.

8. Data and Content

You retain ownership of all data you provide to the Service (debt records, transaction descriptions, payment handles, etc.). By using the Service, you grant Nudge a limited license to store, process, and display this data as necessary to provide the Service.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied.

• Nudge does not guarantee the accuracy of debt calculations, AI-detected debts, or settlement amounts. Users are responsible for verifying all figures before confirming.
• Nudge is not responsible for disputes between users regarding debts, payments, or staking arrangements.
• Nudge does not guarantee uptime or uninterrupted service. We may perform maintenance or updates that temporarily affect availability.

10. Limitation of Liability

To the maximum extent permitted by law, Nudge shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising from your use of or inability to use the Service.

Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $50, whichever is greater.

11. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or for any other reason at our discretion, with or without notice.

Upon termination, your right to use the Service ceases immediately. Data deletion follows the retention policy described in our Privacy Policy.

12. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated "Last updated" date. Continued use of the Service after changes constitutes acceptance of the revised Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising from these Terms or the Service shall be resolved through good-faith negotiation before pursuing other remedies.
